Terms Of Purchase

I. INTRODUCTION

The INAWE™ Membership (“Membership”) is offered by Hayley Lloyd Ltd (“Company,” “we,” “us,” or “our”). The Membership consists of digital services, products, materials, content, community access, and any other features or offerings provided by Company as part of the selected membership option, as described on the applicable sales or checkout page.

By purchasing or accessing the Membership, you (“Member,” “you,” or “your”) agree to be bound by these Terms of Purchase, which constitute a legally binding agreement between you and Company.


II. AGE REQUIREMENT & ACCOUNT ACCESS

You confirm that you are at least eighteen (18) years of age.

You acknowledge that any login credentials, usernames, or passwords associated with your Membership account are personal to you and may not be shared. Sharing account access with any other individual is strictly prohibited and may result in immediate termination of your Membership without refund.


III. MEMBERSHIP ACCESS & DELIVERY

Company will provide you with access to digital materials and features included in your selected Membership for personal, non-commercial use (“Membership Materials”).

Membership access is provided on a subscription basis and remains active for the duration of your current paid billing period, unless terminated earlier in accordance with these Terms.

Company support is available via email Monday through Friday, 9:00 a.m. to 5:00 p.m. AEST. Company will use reasonable efforts to respond to inquiries within twenty-four (24) hours during business days.


IV. MEMBER RESPONSIBILITIES

By participating in the Membership, you agree to:

- Engage with the Membership in good faith and to the best of your ability
- Communicate respectfully with Company and other members
- Be solely responsible for implementing any suggestions, practices, or information provided
- Maintain confidentiality of personal or sensitive information shared by other members
- Refrain from harassment, abusive language, defamatory statements, or disruptive conduct

You acknowledge that your results depend on your own effort, consistency, and circumstances, and Company makes no guarantees regarding outcomes.


V. FEES & MEMBERSHIP OPTIONS

Membership pricing and available subscription options are disclosed on the applicable sales or checkout page and may include:

- Monthly subscription (billed monthly)
- Six-month subscription (billed every six months)
- Twelve-month subscription (billed every twelve months)

All prices are subject to change at Company’s discretion for future billing periods.


VI. PAYMENT TERMS & AUTOMATIC RENEWAL

Membership payments are processed via third-party payment processors and governed by their respective terms and privacy policies. By purchasing a Membership, you authorize Company to automatically charge your selected payment method according to your chosen billing cycle.

Automatic Renewal:
All Memberships automatically renew at the end of each billing period unless cancelled prior to the next billing date. Billing dates are based on the original purchase date.
Company is not required to provide renewal reminders. It is your responsibility to manage your subscription and cancellation timing.


VII. PAYMENT FAILURE

If a payment attempt fails, Company may suspend or terminate access to the Membership until payment is successfully processed.
You remain responsible for any charges incurred prior to cancellation or termination. Company reserves the right to pursue outstanding balances to the fullest extent permitted by law.


VIII. REFUND POLICY

All Membership purchases are final sale. No refunds, partial refunds, credits, or prorated refunds are provided for any reason, including but not limited to unused time, lack of usage, early cancellation, or dissatisfaction with the Membership.


IX. CANCELLATION POLICY

You may cancel your Membership at any time before your next billing date by logging into your Membership account and completing the cancellation process.

Cancellation:

- Stops future renewal charges
- Does not affect access for the remainder of the current paid billing period
- Access will remain active until the end of your current billing cycle.

Once a payment has been processed, including renewal payments, it is final and non-refundable.

Lifetime Memberships:
All Lifetime Membership purchases are final sale and non-cancellable.


X. RELATIONSHIP OF PARTIES

Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship between you and Company.


XI. INTELLECTUAL PROPERTY

All Membership Materials and content provided by Company are owned by Company and protected by applicable intellectual property laws. You are granted a limited, revocable, non-transferable license to access and use the Membership Materials for personal, non-commercial use only.

You may not copy, reproduce, distribute, sell, sublicense, modify, or create derivative works from any Membership Materials without express written permission.

INAWE™, Full Spectrum Authority™, Femthority™, and Feminine Authority™ are trademarks of Company and may not be used without written authorization.


XII. PLATFORM & SERVICE INTERRUPTIONS

Company does not guarantee uninterrupted access to the Membership. Temporary interruptions may occur due to maintenance, technical issues, or events beyond Company’s control. Company is not liable for any resulting inconvenience or damages.


XIII. DISCLAIMER (GENERAL)

The Membership is provided for informational and educational purposes only and does not constitute professional advice of any kind. our participation is voluntary and at your own risk.


XIV. MEDICAL DISCLAIMER

The Membership does not provide medical advice and is not intended to diagnose, treat, cure, or prevent any condition. Always consult a qualified healthcare professional regarding medical concerns.

Company makes no representations regarding physical, emotional, or mental health outcomes.


XV. PROFESSIONAL & EARNINGS DISCLAIMER

The Membership does not provide business, financial, legal, or professional advice. Company does not guarantee results, income, growth, or outcomes of any kind.
Any testimonials or examples represent individual experiences and are not guarantees.


XVI. WARRANTY DISCLAIMER

The Membership and all content are provided “as is” without warranties of any kind, express or implied, to the fullest extent permitted by law.


XVII. NO TRANSFER OR ASSIGNMENT

Your Membership is personal and non-transferable without Company’s prior written consent.


XVIII. MODIFICATIONS

Company may modify these Terms at any time. Continued use of the Membership after notice of changes constitutes acceptance of the modified Terms.


XIX. TERMINATION

Company may terminate or suspend your Membership without refund if you violate these Terms, including but not limited to misuse, misconduct, or unauthorized sharing of access. Termination does not relieve you of payment obligations incurred prior to termination.


XX. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Company is not liable for any direct or indirect damages arising from your use of the Membership.


XXI. INDEMNIFICATION

You agree to indemnify and hold harmless Company from any claims arising from your participation in the Membership or violation of these Terms.


XXII. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of Australia. Any disputes shall be resolved through binding arbitration in Australia or, if required, in the courts of Brisbane, Australia.


XXIII. FORCE MAJEURE

Company is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, or government action.


XXIV. SEVERABILITY

If any provision is found unenforceable, the remaining provisions remain in full force and effect.


XXV. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Company regarding the Membership and supersede all prior communications.
